  • Analytics: Insights and reporting on call quality metrics
  • API Access: Programmatic integration with your existing systems
  • AI Scoring Assistant: Natural language interface for creating and managing scoring rules

4. Account Registration and Security

4.1 Account Creation

To use certain features of the Service, you must create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your password confidential and secure
  • Notify us immediately of any unauthorized access to your account
  • Accept responsibility for all activities that occur under your account

4.2 Account Types

We offer different account types with varying levels of access and permissions:

  • User: Basic access to upload and view transcriptions
  • Manager: Additional access to manage users, accounts, and API tokens
  • Administrator: Full access to all features including company settings

4.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials. We recommend:

  • Using a strong, unique password
  • Not sharing your credentials with others
  • Logging out after each session on shared devices
  • Regularly reviewing account activity

5. Acceptable Use Policy

5.1 Permitted Uses

You may use the Service only for lawful purposes and in accordance with these Terms. Permitted uses include:

  • Transcribing and analyzing business communications you have the right to process
  • Evaluating call quality for training and improvement purposes
  • Generating reports and analytics for business intelligence
  • Integrating with your existing business systems via our API

5.2 Prohibited Uses

You agree NOT to use the Service to:

  • Process recordings without proper consent from all parties (where legally required)
  • Upload content that violates any applicable law or regulation
  • Infringe upon intellectual property rights of others
  • Transmit malware, viruses, or other harmful code
  • Attempt to gain unauthorized access to the Service or its systems
  • Interfere with or disrupt the Service or servers
  • Use the Service for any illegal or fraudulent purpose
  • Resell, sublicense, or redistribute the Service without authorization
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use automated systems to access the Service beyond API rate limits
  • Upload content containing child exploitation material
  • Process recordings for surveillance or stalking purposes

5.3 Content Responsibility

You are solely responsible for:

  • All content you upload, submit, or transmit through the Service
  • Ensuring you have the legal right to process such content
  • Obtaining all necessary consents from individuals whose voices appear in recordings
  • Complying with all applicable laws regarding call recording and processing

6. Content and Intellectual Property

6.1 Your Content

You retain all rights to the content you upload to the Service ("Your Content"). By uploading content, you grant us a limited license to:

  • Process, transcribe, and analyze Your Content to provide the Service
  • Store Your Content on our servers and those of our service providers
  • Create derivative works (transcriptions, scores, analytics) from Your Content

This license is non-exclusive, worldwide, and limited to what is necessary to provide the Service. We do not claim ownership of Your Content.

6.2 Our Intellectual Property

The Service, including its original content, features, functionality, software, and design, is owned by MB Digisensus and protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not:

  • Copy, modify, or distribute our software or content
  • Use our trademarks without written permission
  • Create derivative works based on our Service
  • Remove or alter any proprietary notices

6.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use such feedback for any purpose without compensation or attribution.

7. Pricing and Payment

7.1 Pricing Model

Digisensus uses transparent per-call pricing. Current pricing and plans are available on our website or upon request. Prices may vary based on:

  • Volume of calls processed
  • Selected features and capabilities
  • Deployment option (shared, dedicated, or on-premises)
  • Custom requirements and integrations

7.2 Payment Terms

Unless otherwise agreed:

  • Payment is due according to your selected billing cycle
  • All fees are exclusive of applicable taxes
  • You are responsible for all taxes associated with your use of the Service
  • Late payments may result in service suspension

8. Service Availability and Support

8.1 Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

  • Factors beyond our control (internet outages, force majeure)

9. Data Processing and Privacy

10. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party that is designated as confidential or should reasonably be understood to be confidential.

Confidentiality obligations do not apply to information that:

  • Is or becomes publicly available through no fault of the receiving party
  • Was already known to the receiving party
  • Is independently developed by the receiving party
  • Is disclosed pursuant to a legal requirement

11.1 Service Provided "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR COMPLETENESS OF RESULTS

11.2 AI and Transcription Accuracy

Our AI-powered transcription and scoring services are provided for informational purposes. We do not guarantee:

  • 100% accuracy of transcriptions
  • Completeness of speaker detection
  • Accuracy of automated scores or analysis

You should review transcriptions and scores before making business decisions based on them.

12. Limitation of Liability

12.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MB DIGISENSUS SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Cost of substitute services
  • Damages arising from unauthorized access to your data

12.2 Liability Cap

Our total liability for any claims arising from or related to the Service shall not exceed the greater of:

  • The amount you paid us in the 12 months preceding the claim, or
  • EUR 100

12.3 Essential Purpose

These limitations apply regardless of the legal theory and even if we have been advised of the possibility of such damages. Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless MB Digisensus, its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Content you upload or transmit through the Service
  • Your violation of any applicable law or regulation

14. Term and Termination

14.1 Term

These Terms are effective when you first access the Service and continue until terminated.

14.2 Termination by You

You may terminate your account at any time by contacting us. Upon termination:

  • Your access to the Service will be revoked
  • Your data will be handled according to our data retention policies
  • You remain responsible for any outstanding payments

14.3 Termination by Us

We may suspend or terminate your access to the Service:

  • Immediately for violation of these Terms
  • With 30 days' notice for convenience
  • Immediately if required by law
  • Immediately for non-payment

14.4 Effect of Termination

Upon termination:

  • All licenses granted to you terminate
  • You must cease all use of the Service
  • Provisions that should survive termination will remain in effect

15. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms on our website
  • Updating the "Last updated" date
  • Sending email notification for significant changes

Continued use of the Service after changes constitutes acceptance of the modified Terms.

16. Dispute Resolution

16.1 Governing Law

These Terms are governed by the laws of the Republic of Lithuania, without regard to conflict of law principles.

16.2 Jurisdiction

Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Vilnius, Lithuania.

16.3 Informal Resolution

Before initiating any legal proceedings, you agree to contact us first to attempt informal resolution of any dispute.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and MB Digisensus regarding the Service.

17.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.

17.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

17.4 Assignment

You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights and obligations without restriction.

17.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control.
